The Short Version

Seated's Fan-to-Fan Resale Exchange lets fans sell tickets they can't use to other fans who want them. Here's what you need to know:

  • For Buyers: Every ticket sold through the Resale Exchange is verified as authentic before it reaches you. You'll receive a valid mobile ticket directly from Seated that is guaranteed to be valid for entry. All sales are final, with limited exceptions for canceled events. You can always relist your tickets back on Seated if your plans change.

  • For Sellers: You can list any tickets you've already purchased and transfer them to Seated for verification. Once your tickets are verified by Seated and sold to a new fan, you'll get paid after the event takes place. You set your price, subject to any limits the artist or event organizer has put in place. Fees are clearly shown before you complete any transaction.

  • For Everyone: Seated's fan-to-fan resale exchange is meant for true fans. It is often the only official resale outlet endorsed by the artist. We're not a marketplace for professional resellers.

1. Introduction

1.1 What This Policy Covers

This Resale Exchange Policy ("Policy") governs your use of Seated's fan-to-fan ticket resale exchange ("Resale Exchange"), including listing tickets for sale and purchasing resale tickets. The Resale Exchange is operated by Seated, Inc. ("Seated," "we," "us," or "our") and is available through our website at www.seated.com, our mobile application, and through artist and event pages powered by Seated (collectively, the "Platform").

This Policy is a supplement to Seated's General Terms & Conditions ("General Terms"). By using the Resale Exchange, you agree to be bound by both this Policy and the General Terms. If there is a conflict between this Policy and the General Terms, this Policy controls with respect to the Resale Exchange.

1.2 What Seated Is β€” and Isn't

Seated operates the Resale Exchange as a platform to facilitate the resale of event tickets between fans. When you buy a ticket through the Resale Exchange, you are purchasing a ticket that was originally bought by another fan. When you sell a ticket through the Resale Exchange, Seated may act as an intermediary to verify, hold, and transfer that ticket to the buyer on your behalf.

Seated is not a party to the transaction between buyer and seller. We do not own, set the price of (except to enforce artist- or event-imposed limits and fees), or guarantee the continued validity of any ticket beyond the guarantees described in this Policy. We are not the event organizer, venue operator, and, except in rare cases, we are not the original ticket issuer.

2. Definitions

  • "Artist/Event Rules" means the pricing limits, resale restrictions, and other terms set by the artist, event organizer, venue, promoter, or other party responsible for the event.

  • "Buyer" means a user who purchases a ticket through the Resale Exchange.

  • "Event" means the live event, performance, game, or experience to which a ticket provides admission.

  • "Listing" means a ticket posted for sale on the Resale Exchange.

  • "Listing Price" means the price set by the Seller for their ticket, subject to any applicable Artist/Event Rules.

  • "Original Ticket Provider" means the ticketing platform or box office through which the ticket was originally sold (e.g., Ticketmaster, AXS, or Seated).

  • "Resale Exchange" means Seated's fan-to-fan ticket resale service.

  • "Sale Price" means the total amount paid by the Buyer, including the Listing Price, applicable fees, and taxes.

  • "Seller" means a user who lists a ticket for sale on the Resale Exchange.

  • "Verified Ticket" means a ticket that has been authenticated by Seated through our verification process prior to being made available to Buyers.


3. Eligibility

3.1 General Eligibility

To use the Resale Exchange, whether as a Buyer or Seller, you must:

  • Have a valid Seated account in good standing;

  • Be at least 13 years of age (or the age of majority in your jurisdiction);

  • Provide accurate and complete information; and

  • Comply with this Policy and the General Terms.

3.2 Fan-to-Fan Exchange

The Resale Exchange is designed for individual fans to resell tickets they can no longer use to other fans who want to attend. Professional ticket resellers, brokers, and scalpers are not permitted to use the Resale Exchange. We reserve the right to suspend or terminate the account of any user we reasonably believe is operating as a professional reseller, including (without limitation) users who exhibit patterns of high-volume listing, buying, commercial resale activity, or use of automated tools.

4. Seller Terms

4.1 What You Can List

You may only list tickets on the Resale Exchange that you have already purchased and that you have the right to resell. All tickets must be valid for entry to the applicable Event at the time of listing.

We currently support tickets originally issued through select ticketing platforms and through Seated. The specific platforms we support may change over time, and supported platforms will be indicated in the listing flow.

4.2 What You Cannot List

You may not list any of the following on the Resale Exchange:

  • Speculative tickets β€” tickets you do not already own or have not yet been issued to you;

  • Stolen, counterfeit, or fraudulent tickets β€” tickets that are not legitimately yours to sell;

  • Tickets that cannot be transferred β€” tickets subject to transfer restrictions that would prevent delivery to a Buyer;

  • Tickets with misrepresented details β€” tickets listed with inaccurate event, section, row, seat, or other material information; or

  • Tickets in violation of applicable law β€” tickets whose resale would violate any federal, state, or local law or regulation.

4.3 Pricing

You set the price for your ticket, subject to any limits established by the artist or event organizer through Artist/Event Rules. Many artists who use Seated choose to cap resale prices β€” for example, limiting the resale price to no more than the original amount you paid (including any original fees). These limits are set by the artist, not by Seated, and will be clearly communicated to you during the listing process.

You may list tickets below the original purchase price at any time.

Seated does not control or guarantee ticket pricing. We are not responsible for providing advice on ticket pricing or for ensuring compliance with any applicable pricing laws β€” that is your responsibility as a Seller.

4.4 Listing Accuracy and Disclosures

When listing a ticket, you must provide complete and accurate information about your ticket, including (as applicable) the event name, date, section, row, seat number, and any relevant restrictions or disclosures (such as obstructed views, age restrictions, accessibility seating, or other conditions of entry). You are responsible for ensuring your listing information remains accurate at all times.

If your listing is inaccurate or misleading, Seated reserves the right to remove the listing, cancel the sale, withhold payment, and/or take other action as described in this Policy.

4.5 Transferring Tickets to Seated

To list a ticket on the Resale Exchange, you may be required to transfer your ticket to Seated for verification. The specific transfer process will be communicated to you during the listing flow and may vary depending on the Original Ticket Provider.

Once you transfer your ticket to Seated:

  • Seated will verify the ticket's authenticity and validity;

  • If verified, the ticket will be made available to potential Buyers through the Resale Exchange; and

  • You may request to withdraw your listing at any time before the ticket is sold, and Seated will return the ticket to you. Once a ticket is sold, the sale is final and cannot be canceled by the Seller.

4.6 Exclusive Listing

While your ticket is listed on the Resale Exchange and in Seated's possession, you may not simultaneously list or offer the same ticket for sale on any other platform, marketplace, or channel. If you need to remove your listing to sell elsewhere, you must withdraw your listing from the Resale Exchange first.

4.7 How Buyers Are Matched

Seated may use a waitlist, queue, or other matching system to connect Sellers' tickets with interested Buyers. The specific mechanics of how Buyers are matched to available tickets may vary and are determined by Seated in its sole discretion. Seated does not guarantee that your ticket will sell, sell within any particular timeframe, or sell at any particular price.

4.8 Getting Paid

Following the completion of the Event and subject to the conditions below, Seated will remit payment to you for the Listing Price of your ticket, less any applicable Seller fees.

Payment timing: Sellers will be paid within a reasonable period following the Event (typically within 10 business days), subject to Seated's receipt of the Buyer's payment, confirmation that no disputes have been raised, and your compliance with this Policy and the General Terms.

Payment method: Payment will be made via the method(s) available at the time of your sale, as indicated in your Seated account. You are responsible for providing accurate and up-to-date payment information. Seated reserves the right to delay payment until you have provided all required information.

Conditions for payment: You will not be entitled to payment if:

  • The Event is canceled (see Section 6.1);

  • The ticket you sold is determined to be invalid, inauthentic, or not as described;

  • You have violated this Policy or the General Terms; or

  • You have an outstanding balance or unresolved obligation owed to Seated.

4.9 Seller Fees

Seated charges a service fee to Sellers on completed sales. The applicable fee will be clearly displayed to you before you confirm your listing and will be deducted from your payment. Fees are subject to change. Additional fees may apply as set by the artist or event organizer through Artist/Event Rules, and these will also be disclosed to you before you confirm your listing.

4.10 Seller Responsibilities and Representations

By listing a ticket on the Resale Exchange, you represent and warrant that:

  • You own the ticket and have the right to sell it;

  • The ticket is authentic and valid for entry to the Event;

  • All information you provide is accurate, complete, and not misleading;

  • Your sale of the ticket does not violate any applicable law, regulation, or third-party terms; and

  • You are not acting as a professional ticket reseller or broker.

4.11 Taxes

As a Seller, you are solely responsible for calculating, reporting, and remitting all applicable taxes in connection with the sale of your tickets, including any federal, state, or local income, sales, or other taxes. Seated is not responsible for providing tax advice. Seated may be required by law to report your sales activity to tax authorities and may request your taxpayer identification information. If you do not provide requested tax information, Seated may withhold your payments as required by law.


5. Buyer Terms

5.1 Purchasing Tickets

Tickets available through the Resale Exchange are most often resale tickets, meaning they were originally purchased by another fan and are being resold through Seated. Resale tickets are not standard (primary) tickets being sold for the first time.

To purchase a ticket through the Resale Exchange, you must have a Seated account and a valid payment method. The Sale Price β€” including the ticket price, applicable fees, and taxes β€” will be clearly displayed before you confirm your purchase. By completing a purchase, you agree to pay the full Sale Price.

5.2 Pricing and Fees

The Listing Price of a resale ticket is set by the Seller, subject to any applicable Artist/Event Rules. Please be aware that resale tickets may be priced above or below the original face value, depending on the rules set by the artist or event organizer for that Event.

Many artists who partner with Seated choose to cap resale prices at or near the original purchase price. When a cap is in place, it will be reflected in the available ticket prices.

Seated charges a service fee to Buyers on each purchase. The applicable fee will be clearly displayed before you confirm your purchase. Fees are subject to change, and additional fees may apply as set by the artist or event organizer.

Seated does not provide price adjustments, price matching, or credits based on changes in ticket prices after your purchase.

5.3 Order Confirmation

Once you've successfully placed an order, you will receive an order confirmation via email and/or in your Seated account ("Order Confirmation"). Please review your Order Confirmation promptly to verify that the details are correct. If you don't receive an Order Confirmation shortly after purchase, please check your spam folder and your Seated account, or contact us.

Once you receive an Order Confirmation, the ticket purchase is final. All sales are final except in the limited circumstances described in this Policy (see Section 6).

5.4 Ticket Delivery

Every ticket sold through the Resale Exchange is verified by Seated before being delivered to the Buyer. Seated often handles the transfer of the ticket to you β€” meaning the Seller does not transfer the ticket to you directly.

You will receive a valid mobile ticket in your Seated account or via the Original Ticket Provider's platform, depending on the event and ticketing infrastructure. Delivery details and instructions will be provided in your Order Confirmation and/or via email.

In some cases, you may need to have the Original Ticket Provider's mobile application installed and may need to create an account with that provider to access your ticket.

5.5 Ticket Restrictions

Some Events may have entry requirements or restrictions, such as minimum age, ID verification, health and safety protocols, or other conditions set by the event organizer or venue. It is your responsibility to review all event information and ensure that you (and anyone attending with you) can comply with all applicable entry requirements. Seated is not responsible if you are denied entry due to failure to meet event-specific requirements.

5.6 Buyer Fees

Seated charges a service fee to Buyers on each completed purchase. The all-in purchase price, including the fee amount, will be clearly displayed during the purchase flow before you confirm your transaction. Fees are subject to change and may vary by event.


6. Canceled, Postponed, Rescheduled, and Moved Events

6.1 Canceled Events

If an Event is canceled:

  • Buyers are eligible to receive a full refund of the Sale Price (including fees) back to the original payment method used at the time of purchase. For certain events, Buyers also may be eligible to choose an alternative form of refund, such as Seated credit, a charity donation, or another cash refund method.

  • Sellers will not receive payment for the canceled sale. The Seller's original ticket obligation is between the Seller and the Original Ticket Provider, and the Seller should contact the Original Ticket Provider for any refund of their original purchase.

6.2 Postponed, Rescheduled, or Moved Events

If an Event is postponed, rescheduled to a different date or time, or moved to a different venue:

  • Tickets remain valid. Your ticket will generally remain valid for the rescheduled or moved Event, and no further action is required.

  • If you can no longer attend: Seated may, in its sole discretion, offer the Buyer the option to request a refund or to have the ticket re-listed on the Resale Exchange for the rescheduled event. The availability of refunds for postponed, rescheduled, or moved events is determined on an event-by-event basis and may be influenced by the policies of the event organizer and the Original Ticket Provider.

  • Sellers: If a Buyer is refunded for a postponed, rescheduled, or moved event, the Seller will not receive payment for that sale. Seated will make reasonable efforts to return the ticket to the Seller or notify the Seller of their options, but Seated is not responsible for any loss incurred by the Seller in connection with the postponement, rescheduling, or relocation of an Event.

Seated has no control over event scheduling decisions and is not liable for any costs or expenses you incur in connection with a postponed, rescheduled, or moved Event (including travel, accommodation, or other expenses).

If you can't make the new date, we may be able to help β€” but refund availability depends on the specific event. Sellers won't be paid if the sale is refunded, but they will receive their tickets back.

6.3 Material Changes to Events

If there is a material change to an Event β€” such as a significant change in the lineup, venue, or nature of the event β€” Seated may, in its sole discretion, treat the event as canceled for purposes of this Policy and process refunds accordingly. What constitutes a "material change" is determined by Seated in its sole discretion.


7. Seated Ticket Guarantee

7.1 Our Promise to Buyers

Seated guarantees that every ticket sold through the Resale Exchange is verified as authentic before delivery to the Buyer. If a ticket purchased through the Resale Exchange is not valid for entry to the Event due to an issue with the ticket's authenticity or validity (and not due to the Buyer's own actions or failure to comply with entry requirements), Seated will, at its option:

  • Provide a comparable replacement ticket; or

  • Issue a full refund of the Sale Price to the Buyer's original payment method.

This guarantee does not cover:

  • Denial of entry due to the Buyer's failure to comply with event rules, entry requirements, health and safety protocols, or applicable law;

  • Issues caused by the Buyer's own actions (e.g., sharing, screenshotting, or mishandling their ticket);

  • Changes to the Event (see Section 6);

  • Subjective dissatisfaction with the Event, seating, or experience; or

  • Issues arising after the Buyer transfers or resells the ticket.

πŸ“‹ What this means: We stand behind every ticket. If the ticket we send you doesn't get you into the event (and it's not because of something you did), we'll either get you a replacement or give you your money back.

7.2 Seller Accountability

If a ticket you sold through the Resale Exchange is determined to be invalid, inauthentic, or materially different from the listing description, Seated may:

  • Withhold payment for the sale;

  • Recover any payment already made to you;

  • Charge your payment method on file for the cost of remedying the issue (including the cost of replacement tickets or Buyer refunds);

  • Suspend or terminate your account; and/or

  • Take any other action permitted under this Policy or the General Terms.


8. Refunds

8.1 General Policy

All sales through the Resale Exchange are final. Refunds are only available in the limited circumstances described in this Policy:

  • The Event is canceled (Section 6.1);

  • Seated elects to offer a refund for a postponed, rescheduled, or moved event (Section 6.2);

  • Seated treats a material event change as a cancellation (Section 6.3); or

  • A ticket fails the Seated Ticket Guarantee (Section 7.1).

8.2 How Refunds Work

When a refund is issued:

  • Refunds include the Listing Price and applicable fees, unless otherwise stated;

  • Cash refunds are processed to the original payment method used at the time of purchase;

  • Cash refund timing depends on your payment provider and may take several business days to appear; and

  • Depending on the event, Seated may also present you with alternative refund options, such as the ability to claim Seated credit, donate your refund to charity, or select another cash refund method.

8.3 No Chargebacks

You agree not to seek a "chargeback" or dispute through your credit card company, bank, or payment provider for any transaction completed through the Resale Exchange, except where you have a legal right to do so and only after first attempting to resolve the issue directly with Seated. If you initiate a chargeback, Seated reserves the right to cancel your tickets, suspend or terminate your account, and/or prohibit future purchases or sales.

9. Prohibited Conduct

In addition to the restrictions in the General Terms, the following conduct is prohibited in connection with the Resale Exchange:

  • Listing tickets you do not own or have not yet received (speculative listing);

  • Operating as a professional ticket reseller, broker, or scalper;

  • Using automated tools, bots, or scripts to list tickets, purchase tickets, or interact with the Resale Exchange;

  • Creating multiple accounts to circumvent restrictions or manipulate the Resale Exchange;

  • Providing false, misleading, or inaccurate information in connection with a listing or purchase;

  • Attempting to contact a Buyer or Seller outside of the Seated platform for purposes of completing, modifying, or circumventing a transaction;

  • Listing or purchasing tickets in violation of applicable law;

  • Interfering with the operation of the Resale Exchange or the experience of other users; or

  • Any other conduct that Seated determines, in its reasonable discretion, is harmful to the integrity of the Resale Exchange or the Seated community.

Violations may result in removal of listings, cancellation of sales, withholding or recovery of payments, account suspension or termination, and/or any other remedies available to Seated.


10. Limitation of Liability

10.1 Seated's Role

Seated operates the Resale Exchange as a platform to facilitate fan-to-fan ticket resale. Except as expressly stated in the Seated Ticket Guarantee (Section 7), Seated makes no warranties or guarantees regarding any ticket, event, or transaction completed through the Resale Exchange, including (without limitation) that any event will take place, that any ticket will be honored by the venue or event organizer, or that any event will meet your expectations.

10.2 Limitation

To the maximum extent permitted by applicable law, Seated's total liability arising out of or in connection with the Resale Exchange β€” whether in contract, tort, negligence, strict liability, or otherwise β€” shall not exceed the total fees actually paid to Seated by you in connection with the specific transaction giving rise to the claim. Seated shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including (without limitation) loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Resale Exchange.

10.3 Event-Related Disclaimers

Seated is not the event organizer, venue operator, or Original Ticket Provider. Seated has no control over events, including their scheduling, cancellation, postponement, relocation, content, or entry requirements. Seated is not liable for any costs, expenses, or losses you incur in connection with an event or changes to an event, including (without limitation) travel, accommodation, or hospitality expenses.


11. Dispute Resolution

Any disputes arising out of or relating to this Policy or the Resale Exchange are subject to the dispute resolution provisions set forth in the General Terms, including the arbitration agreement and class action waiver contained therein. Please review those provisions carefully.


12. Privacy

Your use of the Resale Exchange is subject to Seated's Privacy Policy. Seller information (such as name or contact details) will not be shared with Buyers, and Buyer information will not be shared with Sellers, except as necessary to facilitate the transaction or as required by law.


13. Changes to This Policy

We may update this Policy from time to time to reflect changes to the Resale Exchange, our business practices, or legal requirements. If we make material changes, we'll notify you through the Platform or by other reasonable means. The "Effective Date" at the top of this Policy indicates when it was last revised. Your continued use of the Resale Exchange after changes are posted constitutes your acceptance of the updated Policy.
